Technical due diligence for software deals.

Independent engineering assessment of the asset you are underwriting. Fixed fee, quoted before we start. Red flags within 48 hours.

Your model assumes the platform scales, the roadmap ships, and the engineering team stays. Those are technical claims, and they are the ones least visible from a data room.

We give you an independent read on whether the technology supports the thesis, in a form a deal partner can act on.

Built for growth equity and lower-mid-market sponsors evaluating SaaS and software targets, typically $10M–$200M enterprise value.

What we assess

  • Architecture

Does the design survive 10x the load in the model, or does it need a rewrite you have not priced?

  • Code quality

How much technical debt is there, and where is it concentrated?

  • Security

What exposure exists, and what would a regulator or an enterprise buyer’s security review find?

  • Infrastructure and cloud cost

What does the hosting bill do at the revenue target? We have found six-figure annual surprises here.

  • Third-party and licensing

Open-source obligations, vendor lock-in, and anything that constrains a future exit.

  • Engineering team

Who actually holds the knowledge, what happens if they leave, and is the team sized for the plan?

  • Roadmap credibility

Can this team ship what the CEO is promising on the timeline they gave you?

Scope is set with you before we start. If the thesis rests on one product line, we go deep there rather than spreading thin.

AI usage and compliance

Every acquisition is now an AI acquisition, whether or not the target calls itself an AI company. We cover six things.

  • A real AI inventory

What is actually running: models in the codebase, third-party AI calls, and tools teams adopted without telling anyone.

  • Training data provenance

Where the data came from, and whether the company has the right to train on it.

  • IP ownership of outputs

Who owns what the model produces, in the markets the company sells into.

  • Regulatory exposure

Which AI rules each system falls under.

  • Inference economics

What a model call costs, and what happens to gross margin as usage scales.

  • AI-generated code

How much an assistant wrote, whether anyone reviewed it, and the licence risk.

Engagements, with scope, duration and fee in US dollars
EngagementScopeDurationFee (USD)
Pre-LOI red-flag screen Showstoppers only — architecture, security, AI inventory, key-person risk 5 business days $6,000–8,000
Standard technical due diligence Single product, cooperative target, full scope above including AI usage and compliance 2–3 weeks $18,000–25,000
Complex engagement Multiple products, legacy systems, distributed teams, regulated environments 3–4 weeks $30,000–45,000
Engineering practice review Post-close, for a portfolio company you already own 2 weeks $10,000–15,000
AI assessment, standalone AI inventory, data provenance, regulatory exposure, inference economics — where technical diligence is already running elsewhere 1–2 weeks $9,000–15,000

The screen credits in full. If you commission the standard engagement after a red-flag screen, the screen fee comes off it. Proceeding costs you nothing extra; walking early costs you $6,000 instead of a dead deal.

Terms: 50% on signature, 50% on delivery of the final report. Net 30. Expenses billed at cost only where on-site work is required.

Who runs the engagement

Binu K S leads every diligence engagement personally. He is supported by senior engineers from Mobiux’s own delivery team, not by junior analysts.

Our advisory work is independent. We do not tie findings to follow-on build work, so you can trust that our assessment reflects what we actually found.

His delivery background spans VoIP protocol stacks, video streaming appliances, restaurant and food-delivery systems, property management, and financial products — which means most targets fall inside domains he has shipped in.

What you receive

  1. A one-page verdict

Proceed, proceed with conditions, or walk — with the two or three findings that drive it. Written for an investment committee, not for engineers.

  2. A risk register

Every finding rated by severity, with the ones you can escrow or price against called out separately.

  3. A live readout

We walk your deal team through it and take questions. Most of the value lands here.

We work to your deal calendar. Verbal red flags reach you within 48 hours of finding them — you should never learn about a showstopper from a written report two weeks later.

Scope a deal

Send us the target’s sector, rough engineering headcount, and your decision date. We come back with a scope and a fixed fee within one business day.
